Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you and The API Guys LLC, doing business as TriviaTies (“TriviaTies,” “we,” “us,” or “our”), governing your access to and use of the TriviaTies platform, including the website at triviaties.com, the application at app.triviaties.com, and all related APIs and services (collectively, the “Service”).

“Customer” refers to the organization that subscribes to the Service. “Authorized Users” refers to individuals granted access to the Service by a Customer, including administrators, hosts, managers, and scorekeepers. “Players” refers to individuals who participate in trivia events hosted on the Service.

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

TriviaTies is a business-to-business (B2B) software-as-a-service (SaaS) platform for hosting interactive trivia events. The Service includes:

  • Question and content management with an AI-assisted question generation tool
  • Real-time game hosting with live scoring, buzzer systems, polls, wagers, and tiebreakers
  • Team and roster management with player statistics
  • Projector display for live audiences
  • Organization-level analytics and data export
  • API access and webhook integrations
  • Custom branding and theming

3. Account Registration and Organization Structure

3.1 Account Creation

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Organizations

The Service is organized around multi-tenant organizations. Each organization is a separate workspace with its own members, content, events, and billing. Data belonging to one organization is not accessible to other organizations.

3.3 Roles and Permissions

Organization owners may assign roles to Authorized Users, including Organization Admin, Trivia Host, Trivia Manager, and Trivia Scorekeeper. Each role has specific permissions within the Service. The organization owner is responsible for managing access and permissions for their Authorized Users.

3.4 Subdomains and Custom URLs

Each organization is assigned a unique subdomain (e.g., your-org.triviaties.com). Eligible subscription tiers may choose a custom vanity subdomain or connect a custom domain, subject to availability.

Subdomain guidelines:

  • Subdomains must not impersonate, infringe upon, or create confusion with any third-party brand, trademark, company name, or product name.
  • Subdomains must not contain profane, offensive, or misleading terms.
  • Certain subdomains are reserved for platform infrastructure, common services, and well-known brands and are not available for registration.

Our rights: We reserve the right to reclaim, reassign, or modify any subdomain at any time if we determine, in our sole discretion, that it violates these guidelines, infringes on third-party rights, or is needed for platform operations. We will make reasonable efforts to notify you before reclaiming an active subdomain, except where immediate action is required to prevent harm.

Alias window: When you change your subdomain, the previous subdomain will continue to redirect to your new subdomain for 30 days. After this period, the previous subdomain may be released for use by others.

4. Subscription Plans and Billing

4.1 Subscription Tiers

The Service is offered in the following tiers:

  • Free (Starter): Core trivia hosting with limited capacity. No credit card required.
  • Pro: Advanced item types, AI question generation, analytics, projector display, custom branding, webhooks, and expanded capacity.
  • Business: Everything in Pro plus custom CSS, sponsor/ad items, white-label capabilities, and custom AI provider.
  • Enterprise: Everything in Business with unlimited capacity, dedicated support, and custom service level agreements. Contact us for details.

Current pricing, features, and limits for each tier are available on our billing page within the Service.

4.2 Free Trial

New organizations receive a 14-day free trial with Pro-level features. No credit card is required to start a trial. At the end of the trial period, the organization automatically transitions to the Free (Starter) tier. One trial is available per organization.

4.3 Payment and Renewal

Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. Subscriptions automatically renew at the end of each billing period unless canceled. All fees are stated in U.S. dollars.

4.4 Price Changes

We may change subscription prices with at least 45 days’ notice. Price changes take effect at the start of your next billing period after the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.

4.5 Cancellation

You may cancel your subscription at any time through the billing settings in the Service (Stripe Customer Portal). Cancellation takes effect at the end of your current billing period — you will retain access to paid features until then. After your billing period ends, your organization transitions to the Free (Starter) tier. See our Cancellation and Refund Policy for full details.

In accordance with California AB 2863, you can cancel your subscription online through your billing settings in the same number of steps or fewer as it took to subscribe.

4.6 Payment Failures

If a payment fails, we will notify you by email and your subscription will enter a grace period of 7 days. If payment is not resolved within the grace period, your subscription may be canceled and your organization transitioned to the Free (Starter) tier. All data is preserved.

5. Feature Limits and Usage

Each subscription tier has specific usage limits, including maximum teams per event, maximum questions per event, media storage capacity, and API key allowances. Current limits are displayed in your organization’s billing settings.

Rate limits apply to API access and vary by subscription tier. Exceeding rate limits may result in temporarily throttled requests.

6. License Grant and Restrictions

6.1 License

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term, solely for your internal business purposes.

6.2 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Service
  • Sublicense, resell, or redistribute the Service
  • Use the Service to build a competing product
  • Scrape, crawl, or automatically extract data from the Service except through authorized API access
  • Circumvent subscription tier limits, feature gates, or rate limits
  • Access or attempt to access data belonging to other organizations

7. Intellectual Property

7.1 Our Ownership

The Service, including all software, designs, documentation, and trademarks, is and remains the property of The API Guys LLC. These Terms do not transfer any ownership rights to you.

7.2 Your Content

You retain all ownership rights to the content you create, upload, or submit through the Service, including trivia questions, answers, media files, team data, and organization configurations (“Your Content”). By using the Service, you grant us a limited license to host, display, and process Your Content solely for the purpose of providing the Service to you.

7.3 Aggregated Data

We may collect and use aggregated, anonymized data derived from the use of the Service for purposes such as improving the Service, generating industry benchmarks, and conducting research. Aggregated data does not identify any individual user or organization.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without restriction or obligation to you.

8. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Service integrates with third-party services including payment processing (Stripe), social authentication providers (Discord, Facebook, Google, Slack), and error monitoring (Sentry). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, including business plans, technical data, and proprietary methodologies. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

12. Service Availability

We use commercially reasonable efforts to maintain the availability of the Service. However, the Service is provided on an “as available” basis and we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. Unscheduled downtime may occur due to circumstances beyond our control.

13. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRIVIATIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless The API Guys LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service
  • Your Content or any content submitted through your organization
  • Your violation of these Terms or any applicable law
  • Your infringement of any third-party intellectual property or privacy rights

16. Term and Termination

16.1 Term

These Terms are effective when you first access the Service and continue until terminated.

16.2 Termination by You

You may terminate these Terms at any time by canceling your subscription and deleting your account.

16.3 Termination by Us

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees after the grace period, or if we reasonably believe your use poses a security risk. We will provide notice where practicable.

16.4 Effect of Termination

Upon termination, your right to use the Service ceases. Your organization transitions to the Free (Starter) tier and Your Content is preserved. If you wish to export your data, contact us at support@triviaties.com. If you request full account deletion, Your Content will be permanently deleted within a reasonable timeframe. Provisions that by their nature should survive termination (including Sections 7, 11, 13, 14, 15, 17, and 18) will survive.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

17.2 Venue

Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts.

17.3 Informal Resolution

Before filing a formal legal claim, you agree to contact us at support@triviaties.com and attempt to resolve the dispute informally for at least 30 days.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and Cancellation and Refund Policy, constitute the entire agreement between you and TriviaTies regarding the Service.

18.2 Modifications

We may modify these Terms from time to time. We will notify you of material changes by email and by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance.

18.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

18.6 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond the party’s reasonable control, including natural disasters, acts of government, or internet service disruptions.
